IMPORTANT — READ BEFORE ORDERING. All products sold on this Site are supplied strictly as chemical reagents for laboratory research use only. They are not drugs, medicines, dietary supplements, cosmetics, food or medical devices, and they are not for human or veterinary consumption or administration in any form. By placing an order you confirm that you have read, understood and accepted the whole of these Terms, and in particular clauses 4 to 8.
1. These Terms
These Terms and Conditions (“Terms”) govern your use of cactus.auzite.com (the “Site”) and every purchase you make from {{COMPANY_LEGAL_NAME}}, trading as {{TRADING_NAME}} (“we”, “us”, “our”), registered at {{REGISTERED_ADDRESS}}{{COMPANY_NUMBER_CLAUSE}}.
By browsing the Site, creating an account or placing an order, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.
2. Definitions
- “Buyer”, “you” — the person or entity placing an order.
- “Products” — the peptides, reagents and related items offered on the Site.
- “Order” — a request submitted through the Site to purchase Products.
- “Research Use Only” / “RUO” — use exclusively in controlled, in vitro laboratory research by qualified personnel, and not in or on humans or animals.
3. Eligibility
You may place an Order only if all of the following are true. By ordering, you represent and warrant each of them:
- You are at least {{MINIMUM_AGE}} years of age.
- You are a qualified research professional, or you are ordering on behalf of a research institution, laboratory, university or commercial entity that will use the Products for legitimate laboratory research.
- You have the training, facilities and equipment necessary to handle, store and dispose of research chemicals safely.
- You have the legal capacity to enter into a binding contract, and if ordering on behalf of an organisation, the authority to bind it.
- The purchase, import, possession and intended use of the Products are lawful in your jurisdiction.
- The information you provide at checkout, including the shipping address, is accurate and complete.
We may require documentary evidence of any of the above before accepting an Order, and may refuse or cancel any Order where that evidence is not provided or is unsatisfactory.
4. Research Use Only — Conditions of Sale
This clause is a fundamental condition of every sale.
- All Products are supplied for laboratory research use only, by or under the supervision of qualified personnel, in an appropriate laboratory environment.
- The Products are not for human or veterinary use. They must not be ingested, injected, inhaled, applied topically, or otherwise introduced into or onto the body of any human or animal, by you or by any other person.
- The Products are not drugs, medicines, medicinal products, dietary or nutritional supplements, food, food additives, cosmetics, personal care products, or medical devices, and they must not be described, marketed, resold or repackaged as any of those things.
- The Products are not sterile, are not manufactured to pharmaceutical or GMP standards, and are not intended for any diagnostic, therapeutic, preventative, clinical, cosmetic or veterinary application.
- The Products must not be used in or in connection with any clinical trial, patient treatment, compounding, or in any food or consumer product.
- You must not resell, transfer or supply the Products to any person unless that person is bound by restrictions at least as strict as those in this clause 4.
You accept that these restrictions are material to the price and to our willingness to sell, and that we would not sell to you on any other basis.
5. No Medical or Regulatory Claims
We make no claim, representation or warranty, express or implied, that any Product is safe, effective or suitable for any use in humans or animals, or that it has any therapeutic, diagnostic, preventative, performance-enhancing, anti-ageing or cosmetic effect.
No Product has been evaluated or approved by the U.S. Food and Drug Administration, the {{LOCAL_REGULATOR}}, or any comparable regulatory authority for use in humans or animals.
Any reference on the Site to published research, mechanisms of action, study results, molecular structures or biological activity is provided solely as scientific background for research professionals. It is not medical advice, dosing guidance, a treatment recommendation, or an assertion of efficacy or safety, and it must not be relied on as such. Nothing on the Site should be interpreted as encouraging or endorsing use of a Product in a human or an animal. Always consult a licensed healthcare professional about any medical matter.
6. Buyer Responsibility and Legal Compliance
You are solely responsible for:
- determining whether a Product is lawful to purchase, import, possess, store and use in your jurisdiction, and for obtaining any licence, permit or authorisation required;
- the safe handling, storage, labelling, transport and disposal of the Products in accordance with all applicable laws, regulations and good laboratory practice;
- ensuring that anyone to whom you give access to the Products is properly qualified and informed of these restrictions;
- the results, consequences and interpretation of any research you conduct using the Products.
We give no advice on the regulatory status of any Product in your jurisdiction, and any general information we provide is not a substitute for your own legal and regulatory assessment.
7. Prohibited Conduct
You must not:
- use, or permit the use of, any Product in violation of clause 4;
- provide false eligibility, age, identity, address or intended-use information;
- use the Site or the Products for any unlawful purpose, or in connection with the manufacture of any controlled substance, weapon or unapproved medicinal product;
- resell or advertise the Products with any claim of human suitability, dosing information or health benefit;
- attempt to gain unauthorised access to the Site, its servers or any account; probe or scan our infrastructure; circumvent our firewall, rate limits or bot protection; or use automated tools to scrape, harvest, order or place items in the cart;
- introduce malware, submit spam, or overload the Site or its forms.
Breach of this clause entitles us to suspend or close your account, cancel outstanding Orders, refuse future Orders and, where appropriate, report the matter to the relevant authorities.
8. Acknowledgement at Checkout
Where the checkout requires you to tick a box confirming your age and your acceptance of the research-use-only conditions, that confirmation forms part of the contract. We record the confirmation, together with the date, time and IP address, and retain it with your Order record. Submitting a false confirmation is a material breach of these Terms.
9. Your Account
You are responsible for keeping your account credentials confidential and for all activity carried out under your account. Notify us immediately at haroon.webdev@gmail.com if you suspect unauthorised access. We may suspend or terminate an account that we reasonably believe has been used in breach of these Terms, has provided false information, or has been compromised.
10. Products, Specifications and Certificates of Analysis
Product descriptions, images, molecular weights, sequences and purity figures are provided in good faith and are intended as a general description of the Product. Photographs are illustrative; the appearance, vial, closure and labelling supplied may differ.
Where a certificate of analysis or third-party test report is made available, it relates to the specific batch identified on it. Purity figures reflect the analytical method stated on the certificate and its stated limits of detection, and are not a guarantee of performance, stability or suitability for any particular experiment. Product specifications may change without notice.
11. Orders and Formation of Contract
Your Order is an offer to buy. It is accepted, and a contract is formed, only when we send you a dispatch confirmation. An order confirmation or payment receipt issued automatically on submission acknowledges receipt of the Order but does not constitute acceptance.
We may refuse or cancel any Order, in whole or in part, at our discretion and without giving reasons, including where a Product is unavailable, where a price or description was incorrect, where we cannot verify your eligibility or payment details, where the delivery destination is restricted, or where we reasonably suspect the Order breaches these Terms. If we cancel an Order for which you have already paid, we will refund the amount paid in full.
12. Prices, Taxes and Payment
Prices are shown in {{CURRENCY}} and, unless stated otherwise at checkout, exclude shipping, insurance, duties and taxes, which are added before payment or charged on delivery as applicable. Prices may change at any time, but changes do not affect Orders we have already accepted.
Payment must be made in full at the time of ordering by one of the methods offered at checkout. Card and account details are processed by our payment provider; we do not store them. If a payment is reversed, charged back or fails after dispatch, the full amount becomes immediately payable and we may suspend your account and recover reasonable costs of collection.
If an obvious pricing error is discovered before dispatch, we may cancel the Order and refund you in full rather than supply at the incorrect price.
13. Shipping, Title and Risk
Dispatch and delivery estimates are estimates only and are not guaranteed. We are not liable for delays caused by carriers, customs, weather or other events outside our reasonable control.
Risk of loss or damage passes to you on delivery to the address you supplied at checkout. Title to the Products passes to you when we have received payment in full and cleared funds. You must provide an address at which delivery can be accepted; we are not responsible for loss following delivery to an address you supplied, or for Products left with a neighbour or in a safe place at your instruction.
You are responsible for storing the Products correctly on arrival, including any cold-chain requirements stated on the product page or label. We are not liable for degradation caused by a failure to collect or refrigerate a shipment promptly.
14. International Orders
For shipments outside {{HOME_COUNTRY}} you are the importer of record. You are responsible for all customs duties, import taxes, brokerage fees and clearance formalities, and for ensuring that importation of the Products is lawful in the destination country. We are not liable for Orders seized, detained, delayed, returned or destroyed by customs or any other authority, and such Orders are not refundable except at our discretion. We do not undervalue shipments, mislabel contents or falsify customs documentation under any circumstances.
We do not ship to {{RESTRICTED_DESTINATIONS}}, and we may add destinations to that list at any time.
15. Inspection and Shortages
Inspect your Order on arrival. Any shortage, incorrect item, or damage in transit must be reported to haroon.webdev@gmail.com within 7 days of delivery, with photographs of the outer packaging, the vials and the batch labels. Claims made after that period may be refused.
16. Returns, Refunds and Cancellations
Because the Products are sensitive research reagents whose integrity cannot be verified once they have left our control, we do not accept returns of Products that have been opened, used, unsealed, thawed, or stored outside the specified conditions.
We will replace or refund a Product where it was shipped in error, was damaged in transit and reported under clause 15, or does not conform to the batch certificate of analysis supplied with it. Return of the affected Product may be required before a remedy is issued; do not return anything without a return authorisation from us.
Orders may be cancelled before dispatch by contacting haroon.webdev@gmail.com. Once dispatched, an Order cannot be cancelled and clause 16 applies. {{CONSUMER_CANCELLATION_CLAUSE}}
17. Storage, Handling and Disposal
Handle all Products as potentially hazardous. Use appropriate personal protective equipment, follow any safety data sheet supplied, keep the Products in their original labelled containers, store them out of reach of children and untrained persons, and dispose of them and their containers in accordance with applicable waste regulations. Never transfer a Product into an unlabelled or food container.
18. Intellectual Property
The Site and its content — text, product descriptions, images, logos, layout, code and compilations — are owned by us or our licensors and are protected by intellectual property law. You may view and print pages for your own internal, non-commercial use. You may not copy, republish, resell, systematically extract or create derivative works from any part of the Site without our written permission. Third-party trademarks appearing on the Site are the property of their respective owners; their appearance does not imply endorsement or affiliation.
19. Reviews and Submitted Content
If you post a review, comment or other content, you grant us a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce and display it in connection with the Site and our marketing. You must not submit content that describes human or animal use of a Product, states or implies a dose, makes a health, therapeutic or performance claim, is unlawful, defamatory, misleading or infringing, or discloses another person’s personal information. We may edit, refuse or remove any submission without notice.
20. Third-Party Services on the Site
The Site uses Google reCAPTCHA to protect its forms from automated abuse. Your use of reCAPTCHA is subject to the Google Privacy Policy and Google Terms of Service. The Site is also protected by a web application firewall and security monitoring, and transactional email is delivered through a third-party SMTP provider. How each of these processes your data is described in our Privacy Policy.
Requests that our firewall identifies as malicious may be blocked or rate-limited, and repeated failed logins may result in a temporary lockout. If you believe you have been blocked in error, contact haroon.webdev@gmail.com.
21. Site Availability
We aim to keep the Site available but do not guarantee uninterrupted access. We may suspend, withdraw or restrict all or part of the Site for maintenance, security or business reasons without notice and without liability.
22. Disclaimer of Warranties
To the fullest extent permitted by law, the Products and the Site are provided “as is” and “as available”, and we exclude all warranties, conditions and representations except those expressly set out in these Terms — including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, or accuracy of information. We do not warrant that any Product will produce any particular experimental result. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence or for fraud.
23. Limitation of Liability
To the fullest extent permitted by law, we are not liable for any loss of profit, revenue, business, contracts, anticipated savings, data, research results, or goodwill, or for any indirect, consequential, special, incidental, punitive or exemplary loss, however arising.
Our total aggregate liability arising out of or in connection with any Order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the amount you paid for the Products giving rise to the claim.
We accept no liability whatsoever — and you release us entirely — in respect of any loss, injury, illness, death, damage, regulatory action or third-party claim arising from any use of a Product in or on a human or an animal, or from any other use in breach of clause 4.
24. Indemnity
You agree to indemnify and hold harmless {{COMPANY_LEGAL_NAME}}, its officers, employees, suppliers and agents against all claims, demands, proceedings, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising from or connected with your breach of these Terms, your misuse of any Product, your breach of any applicable law or regulation, or any injury or damage caused by a Product after risk has passed to you.
25. Governing Law and Disputes
These Terms and any dispute arising from them or from any Order are governed by the laws of {{GOVERNING_LAW}}, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
{{DISPUTE_RESOLUTION_CLAUSE}}
The courts of {{JURISDICTION_COURTS}} have exclusive jurisdiction over any dispute not resolved under the preceding paragraph. If you are a consumer, this clause does not deprive you of the protection of the mandatory laws of your country of residence.
26. Force Majeure
We are not liable for any failure or delay in performance caused by an event outside our reasonable control, including acts of God, fire, flood, epidemic, war, civil unrest, strike, carrier failure, supplier failure, customs action, government restriction, power or network outage, or cyber attack.
27. General
- Entire agreement. These Terms, together with the Privacy Policy and any documents expressly referenced, constitute the whole agreement between us and supersede any prior arrangement.
- Severability. If any provision is held unenforceable, it is severed and the remainder continues in force.
- Waiver. A failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign your rights under these Terms without our written consent. We may assign ours to a successor in business.
- Third parties. No person other than you and us has any right to enforce these Terms.
- Survival. Clauses 4, 5, 6, 18, 22, 23, 24 and 25 survive termination or completion of any Order.
28. Changes to These Terms
We may revise these Terms at any time. The version in force at the time you place an Order governs that Order. The current version is always available on this page, with the “Last updated” date shown at the top.
